1 Acceptance of Terms

By accessing our website, submitting an enquiry, requesting a quote, placing an order, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you ("Customer", "you") and Mognux ("Company", "we", "us") under the Indian Contract Act, 1872.

2 Our Services

Mognux provides technology solutions across the following domains:

• CCTV Surveillance Systems — HD, IP and AI-powered cameras with remote monitoring
• Access Control Systems — Biometric, RFID, and face recognition-based entry
• Fire Alarm Systems — Detection, alarm panels, and fire safety installations
• Intruder Alarm Systems — Motion detection, sensors, and security monitoring
• IoT Solutions — Connected devices, sensors, and cloud dashboards
• Office Automation — Smart lighting, HVAC, and workplace automation
• Home Automation — Smart homes with app and voice-controlled systems
• IT Services — AMC, cloud, servers, cybersecurity, and IT support
• Networking Services — Structured cabling, Wi-Fi, firewalls, and enterprise networks

Service availability, specifications, and pricing are subject to change without prior notice. Final scope is defined by the written quotation issued by us.

3 Eligibility

To use our website and services, you must:

• Be at least 18 years of age
• Be legally capable of entering into a binding contract under the Indian Contract Act, 1872
• Provide accurate, current, and complete information when submitting enquiries or placing orders
• Not use our services for any unlawful or prohibited purpose under Indian law

4 Quotations & Pricing

All quotations provided through our website, email, or in-person are:

• Valid for 15 days from the date of issue, unless otherwise stated
• Indicative until confirmed by a formal written quotation after site survey
• Exclusive of GST unless explicitly mentioned, which will be charged as per prevailing rates
• Subject to revision in case of changes in scope, site conditions, or material costs

5 Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

• Advance: 50% of the total order value at the time of order confirmation
• Balance: 50% before installation or on completion of work
• Annual Maintenance Contracts (AMC): 100% advance for the contract period
• Recurring Services: Billed monthly/quarterly/annually as agreed

Payment Methods

• Bank transfer (NEFT / RTGS / IMPS) to our registered bank account
• UPI, Cheque, or Demand Draft in favour of Mognux
• Other methods as agreed in writing

6 Installation & Delivery

• Installation timelines are estimated in good faith and may vary based on site readiness and material availability
• You must provide safe access to the site, power supply, and a suitable environment for installation
• Any delays caused by the customer will not entitle the customer to compensation
• Risk in goods passes to the customer upon delivery at the site
• Ownership of goods passes to the customer only upon receipt of full payment

7 Warranty

Our warranty terms are as follows:

• Products: Carry the manufacturer's warranty as specified on the product or invoice
• Installation Workmanship: 90 days from the date of installation
• AMC Customers: Receive extended service support as per the AMC agreement

Warranty Exclusions

The warranty does not cover:

• Damage caused by misuse, negligence, accident, or unauthorized repair
• Failure due to power surges, lightning, floods, or natural disasters
• Normal wear and tear of consumables
• Products tampered with, opened, or altered by the customer or a third party
• Software issues caused by customer modifications

8 Customer Responsibilities

As a customer, you agree to:

• Provide accurate information during enquiry, site survey, and order placement
• Ensure timely payments as per agreed terms
• Provide safe site access, power supply, and required permissions
• Obtain any necessary permissions from building owners, societies, or local authorities
• Not use our products or services for any illegal activity
• Follow instructions for proper use and maintenance of installed systems
• Not resell, sublicense, or commercially exploit our products without written consent

9 Intellectual Property

All content on this website — including text, graphics, logos, icons, images, code, and design — is the property of Mognux or its licensors and is protected under the Copyright Act, 1957 and Trade Marks Act, 1999 of India.

You may not copy, reproduce, modify, distribute, or exploit our content without our prior written permission. Unauthorised use may result in legal action.

10 Limitation of Liability

To the maximum extent permitted by Indian law:

• Our total liability arising out of or relating to any order shall not exceed the total amount paid by you for that specific order
• We shall not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, data, or business opportunity
• We shall not be liable for delays or failures caused by events beyond our reasonable control (force majeure), including natural disasters, strikes, government actions, or supplier failures

Nothing in these Terms limits any liability that cannot be limited under applicable Indian law.

11 Termination

Either party may terminate the agreement in the following circumstances:

• By Customer: With written notice; however, advance payments may be non-refundable if materials or work have already been committed
• By Us: If the customer breaches these Terms, fails to make timely payments, or engages in unlawful activity
• Force Majeure: If performance becomes impossible due to events beyond reasonable control

On termination, all outstanding payments up to the date of termination become immediately due.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to:

• The Indian Contract Act, 1872
• The Information Technology Act, 2000
• The Consumer Protection Act, 2019 (where applicable)
• The Sale of Goods Act, 1930 (where applicable)

13 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or our services:

1. Good Faith Negotiation: The parties will first attempt to resolve the dispute through mutual discussion within 30 days
2. Mediation / Arbitration: If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, and the seat of arbitration shall be in India
3. Jurisdiction: Subject to the above, the courts at [Your City], India shall have exclusive jurisdiction

14 Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Your continued use of our website or services after such changes constitutes acceptance of the updated Terms.
